Legal Notice
TERMS AND CONDITIONS – V2 – APRIL 2026
1. Charging Structure
Unless otherwise agreed in writing, services provided by MD08 Ltd (“MD08”) are chargeable at a flat rate of £750 per day. All engagements, regardless of duration or scope, are subject to a minimum charge of £350.
2. Time Recording
Time is chargeable in units of one day. MD08 will maintain a daily record of works conducted if prior agreed only. It is the responsibility of the Client to operate in an open and honest manner and to address any concerns regarding time allocation immediately as they arise.
3. Printing and Photocopying
Disbursements for document production are chargeable as follows:
A4 Black and White: £0.20 per page
A4 Colour: £0.30 per page
Other formats: Cost plus 20%
4. Expenses
All other expenses and disbursements incurred during the engagement are chargeable at cost plus 25%.
5. Travel
Travel time is chargeable at the standard daily rate. Mileage is payable at £0.50 per mile. Where applicable, first-class train travel and business-class air travel shall be charged to the Client.
6. Annual Review
All rates, charges, and minimum fees are subject to an annual review by MD08.
7. VAT
All rates and charges are exclusive of Value Added Tax (VAT), which shall be applied and payable as required by prevailing UK law.
8. Payment Obligation
Fees, expenses, and disbursements are payable in full irrespective of the progress or final outcome of the engagement or assignment.
9. Invoicing, Set-Off, and Disputes
Invoices are issued on a pro-forma basis unless agreed otherwise and are payable on account prior to the commencement of work.
The Client shall not exercise any right of set-off, counterclaim, or abatement against amounts payable to MD08.
Any dispute regarding an invoice must be raised in writing within 48 hours of the invoice date. Failure to notify MD08 within this timeframe constitutes absolute acceptance of the charges.
If any payment is not made on time, MD08 reserves the right to suspend work or terminate the contract immediately without prejudice to other rights.
10. Client Obligations
The Client shall act in good faith and provide full disclosure of all relevant facts and documents. The Client is responsible for the preservation of all documents in their possession or control as required by law or for the efficiency of the engagement.
11. Intellectual Property
Copyright in all documents created, amended, or provided by MD08 remains vested in MD08. MD08 accepts no liability for the consequences of using such documents for purposes not disclosed to MD08 prior to their creation.
12. Right of Lien
MD08 maintains a lien over its own documents and all documents belonging to the Client in MD08’s possession until all outstanding sums have been settled in full.
13. Termination
Either party may terminate this contract by providing written notice:
Within first 6 months: 1 months’ notice.
After 6 months: 2 months’ notice. Upon notice, all unpaid invoices and work-in-progress become due for immediate payment.
14. Limitation of Liability
MD08’s aggregate liability for any claims is limited to 1x the VAT-exclusive fees paid by the Client for the specific service giving rise to the claim, or £2,000, whichever is the lesser. Liability for indirect or consequential losses is excluded.
15. Directors’ Personal Guarantee
In the event that the Client (where it is a limited company) is unable to meet its payment obligations within the defined timelines, the Directors of the Client company shall jointly and severally hold personal liability to clear the balance. This Personal Guarantee is a condition of the contract and is accepted by the Client upon execution or performance of the terms.
16. Severability
If any provision is found to be void or unenforceable, the remainder of the contract remains in full force and effect.
17. Third-Party Rights
The Contracts (Rights of Third Parties) Act 1999 shall not apply to this agreement.
18. Settlement of Disputes (ADR)
Any dispute or difference arising from this contract shall be referred to Alternative Dispute Resolution (ADR). The parties shall first attempt to resolve the matter via Mediation. If mediation fails, or at the election of MD08, the dispute shall be referred to Adjudication.
The services provided by MD08 are not construction activities.
19. Governing Law
This contract is governed by the laws of England and Wales.
20. Service Agreements
MD08 reserves the right to implement a formal “Service Agreement” for regular or high-risk engagements, which shall supplement these terms.
21. Acceptance by Performance
Commencement of an engagement without a signed copy of these terms constitutes acceptance by performance. Instruction via email, verbal confirmation, or the release of documents (e.g., contracts for review or tender documents) shall be deemed as an instruction to proceed under these terms.
22. Legal Advisory Status
All legal work performed by MD08 is advisory only.
MD08 is not a firm of solicitors and does not hold registration with the Solicitors Regulation Authority (SRA).
The Client (individual or company) remains a litigant in person at all times until a qualified solicitor is formally appointed.
Upon the appointment of a solicitor, MD08 shall retain all para-legal and administrative duties unless otherwise agreed.
23. Research & Development (R&D)
R&D services are conducted under a separate set of terms and conditions. No costs, credits, or fees related to R&D work may be set-off against costs incurred for other services provided by MD08.
